1The parties

This programme is between Profflow Analytics OÜ (Profflow) and an accounting firm that joins it (the Partner). A firm joins when Profflow confirms it in writing and gives it its own link; from then these terms apply.

2What the Partner gets

  • A share — 35% of what each client the Partner brought pays Profflow, without VAT, for the first twelve months after the client’s account is activated, and 27% after that, for as long as the client pays — unless another share is agreed in writing.
  • The cabinet — every client company that invites the Partner, on one screen: whose cash drops below its reserve, who has late payers, whose taxes are near.
  • The monthly report — last month’s report for each client under the Partner’s name and logo, saved as a PDF to send.
  • The partnership — in the cabinet: the clients who came by the Partner’s link, where each stands, what each pays a month, the Partner’s share, the quarter so far and the quarters paid out; and a ready letter to invite a client, sent from the Partner’s own email.

3Whose client a company is

A company is the Partner’s client when its request for access comes within 60 days of following the Partner’s link (profflow.ee/p/…), or when the Partner names it to Profflow in writing before the company’s request. If two partners could claim the same company, the first one counts.

The client agrees its price with Profflow and pays Profflow directly. The Partner’s own fees to its client are the Partner’s business.

4How the share is paid

  • The share is counted on what the client actually paid; nothing on what was not paid, refunded or credited.
  • Within 10 days after each quarter Profflow sends the Partner the quarter’s statement; the Partner invoices it, and Profflow pays within 14 days of the invoice.
  • A quarter under €50 is carried over to the next one.

5The Partner’s part

  • Describe Profflow as it is: an overview built from the client’s own books, bank and payroll, which does not move money, file returns or replace the accountant.
  • Not send unsolicited mass messages in Profflow’s name, and use Profflow’s name and mark only to recommend it.
  • See a client’s data only when the client invites the Partner into its company in Profflow; the client’s data processing agreement with Profflow is at profflow.ee/dpa.

6Auditors

A firm that audits a company cannot receive a share for that company: an auditor’s independence comes first. A firm that does both says so to Profflow, and such clients are left out of the share.

7Independence

The Partner acts in its own name. It is not Profflow’s employee or agent and cannot make promises or agreements on Profflow’s behalf.

8Ending

Either side can end the partnership with 30 days’ notice in writing. For clients brought before the end, the share continues for 12 more months while they pay, unless the partnership ended because the Partner broke these terms.

9Confidentiality and law

Both sides keep confidential what they learn about each other and about clients. Profflow announces changes to these terms 30 days in advance. Estonian law applies; disputes go to Harju County Court.

10Joining

Write to danil@profflow.ee with the firm’s name and registry code. Profflow replies with the confirmation, the Partner’s link and a short demo of the cabinet.
